Hi sjacobs26, that would depend upon the exact provisions of the letter of intent/term sheet/non-binding agreement (I prefer the first two descriptions, since the last is an oxymoron).
Some LOI's will include exclusivity or "no-shop" provisions for the term of the LOI that prohibit a party from shopping around for a better deal while trying to negotiate the current deal with the LOI counterparty.
If CYDY's LOI did include such a provision, it most likely would only extend to the subject matter of that LOI (as you pointed out).
