Shares are not authorized by the board once they are granted by a proxy in a shareholder vote the board has power over them, treasury is not counted on calculations at all, hence market cap is only calculated on issued and outstanding, the shares I’m retiring were issued and outstanding, treasury shares do not calculate at all.
