Of course you can uplist from the OTC to the NASDAQ or NYSE, even if you trade ADRs. And of course you can do an offering in connection with it.
But it doesn't mean you have to do a public offering in connection with the uplist. You can simply apply and have your shares traded on an exchange rather than the OTC.
