Filing an annual report, or as Colorado calls it a "Periodic Report", is generally handled by the registered agent of the corporation, for a fee, which per Hexagon Holdings Articles of Incorporation, is Colorado Registered Agent, LLC. Generally every state requires that a corporation have a registered agent who resides in the state. Since Steve apparently lives in NY, he, or his attorney, hired a company which is the registered agent for many corporations, that is based in Colorado, to be the registered agent for Hexagon Holdings Corp. This is pretty standard practice.
Right now Hexagon Holdings is only non-compliant, not delinquent. They have until 4/30/2019 to submit the periodic report to remain in compliance. After that they would have to jump through a small hoop to become compliant.
Another poster mentioned this is probably all going to happen as part of the process of the move to Colorado.
What is more important in my opinion, is for ONCI to maintain compliance in Delaware. Without the ability to obtain a certificate of good standing from Delaware, the move to Colorado can't happen. I'm sure ONCI/Hexagon legal team are well aware of this.
All in all, imo, I don't see this as a big deal.
