I believe that it is incumbent on nFusz to get the stock price up as high as possible before the offering to reduce/eliminate a split and to minimize dilution from merging with Sound Concepts.
How to do this involves releasing as many positive news items as possible. Also as we expect the SC merger to occur before the stock offering and up-list I expect that SC may take an IOU of some sort for the cash portion to be converted to cash (or other financial vehicle) after the offering/up-list.
Recall that any public offering will have a prospectus from AGP that will portray the financials and prospects of the MERGED ENTITY justifying a higher stock price (AGP doesn't want a failed offering...selling below the initial offering price...usually shorting or insider selling is not allowed for a fixed period of time).
Maybe the strategy will be save a few announcements for post offering to
support the price but I expect many in the near future despite the OTC objection.
