Spinning off NTGL was a pretty big deal and a spinnoff of UltraFlix would be a huge deal. Not sure how the SEC would look at it but it may be much easier to do with a proxy vote. Perhaps NTEK knows that the SEC will not accept a spinnoff of UltraFlix without having an official shareholder vote.
