I think what Gerald tweeted was poorly worded or he was giving people a reason to vote yes. The up-listing process had already started and is pending NASDAQ approval. They can up-list with out increase of AS. However, they will not be able to raise funds through IPO with out the increased AS (at least not as much based on the current structure).

The only hold up might be if Amarantus has not fulfilled NASDAQ's requirement for Corporate Governance pertaining to such things as Directors nominating process, board composition, etc. The ASM would have taken care of that.
