If you reverse-merge into a ticker and assume that Jan knows 100% of the truth, because by all accounts Jan is a pretty honest guy, then later someone Hipple screwed or promisied the world to threatens litigation based on former management or old contracts and promises.... how could they foresee that?

I'll give you this though... where they failed was getting involved with shells associated with Hipple. Us too. Hopefully the Hipple associated damage is now in the past.
