E.W. Scripps Secures Financing to Strengthen Operations and Growth

E.W. Scripps Engages in Strategic Refinancing Transactions

The E.W. Scripps Company (NASDAQ: SSP) recently entered into significant transaction support agreements with lenders covering the majority of its outstanding term loans. This step aims to refinance Scripps' tranche B-2 term loans due in 2026 and tranche B-3 term loans due in 2028. Additionally, the company has secured commitments from accounts receivable securitization providers to establish a new accounts receivable securitization facility and extended parts of its revolving credit facility.

Details of the Financing Transactions

These financing activities are designed to provide Scripps with the necessary runway and liquidity for ongoing strategic initiatives and operational improvements. Key aspects of these transactions include:

Repayment and Loan Extensions

Scripps is set to either repay or extend approximately $1.3 billion of its existing term loans. Initial lending partners holding B-2 loans have chosen to convert part of their loans into new B-2 loans, now maturing in June 2028. Furthermore, existing B-3 loans will exchange for a mix of new B-2 and B-3 loans, which are set to mature in November 2029.

New Committed Financing

In pursuit of successful execution of this refinancing strategy, Scripps has also engaged new lenders to establish a $450 million accounts receivable securitization facility. This facility will not only support the refinancing efforts but will also aid in paying down existing B-2 term loans.

Revolving Credit Facility Updates

The management at Scripps executed a commitment letter for a new revolving credit facility amounting to $208 million, maturing in July 2027. This will replace much of the existing revolving credit facility, simultaneously ensuring there is sufficient liquidity moving forward.

After these transactions complete, all existing B-2 term loans are expected to cease, while any remaining B-3 term loans will take a subordinate position in terms of payment rights.

Strengthening Scripps' Financial Position

According to Jason Combs, CFO of Scripps, this initiative is aimed at transforming the company's balance sheet, allowing for better implementation of strategic plans that are key to the company’s ongoing transformation. The extensive support from both existing and new investors is instrumental in facilitating this refinancing.

Scripps is poised to focus on enhancing its operational performance while managing its debt effectively. The company anticipates completing these arrangements in the upcoming timeframe, enabling it to pursue further growth and operational efficiency.

Firm Future Outlook

The moves by Scripps signify a proactive approach to strengthening its financial structure, focusing on sustainable growth and improved operational efficiency. This comprehensive refinancing strategy highlights the company's commitment to enhancing its liquidity and positioning itself advantageously in the marketplace, even amidst potential financial uncertainties.
