The fleet modernization plan emphasizes increasing the number of Bombardier Challenger 300 series and Embraer Phenom 300 series aircraft in operation. To meet the growing demand reflected in their recently launched Signature membership, Wheels Up has successfully acquired or entered into agreements to gain ten additional Challenger and Phenom aircraft in the last quarter. This acquisition is only a segment of the company's expansive growth vision for the upcoming year.

To facilitate its fleet growth, Wheels Up has partnered with an institutional capital provider. This partnership entails the sale of three Challenger 300s and seven Phenom 300s, all of which will be leased back to the company. Such arrangements allow Wheels Up to continue operational control over these aircraft, ensuring uninterrupted service for its members and customers, especially during peak holiday travel times. As part of its modernization strategy, the aircraft will be updated with new paint, branding, refurbishment, and upgraded to feature the latest HDX satellite Wi-Fi technology.

The sale transaction is valued at approximately $105 million. Following its completion, Wheels Up intends to utilize about $65 million of the proceeds for settling outstanding debts associated with the revolving equipment notes facility. The remaining $40 million will serve to enhance the company's balance sheet and will support the procurement of additional Challenger and Phenom aircraft in 2026. It is anticipated that the deal will finalize before year-end, allowing Wheels Up to continue transitioning into an asset-right operating model, which promotes both capital efficiency and superior customer service.

"The sale-leaseback agreement not only underscores the soundness of our strategy but also enhances our mix of owned and leased aircraft. This partnership will foster sustainable growth and support our ongoing fleet plans for 2026," he stated.

Additionally, with the Gogo Galileo HDX satellite Wi-Fi system now operational in its first Phenom 300, Wheels Up marks the beginning of a significant upgrade across its fleet. The Gogo Galileo HDX system is engineered to deliver superior performance, characterized by high bandwidth, low latency, global coverage, and the ability to support various media including live streaming and voice calls, effectively raising the standards for in-flight connectivity.

Following the FAA's endorsement of the HDX integration into the Phenom, the company is thrilled to have its first HDX-equipped aircraft operational.
