Turmalina Metals Corp. (“Turmalina” or the “Company”; TBX-TSXV, TBXXF-OTCQX, 3RI-FSE) has recently achieved a major milestone in its exploration activities: the TSX Venture Exchange (the “TSXV”) has approved its Mineral Property Option Agreement. This agreement is poised to strengthen Turmalina's position in the mining sector, particularly through its collaboration with Compania De Minas Buenaventura S.A.A. (the “Optionor”) and Aurora Copper Peru, which is a wholly-owned subsidiary of Turmalina.

This Option Agreement allows Turmalina the chance to acquire 100% of the Optionor’s interest in nine mining concessions in Peru, collectively referred to as the Colquemayo Project. The significance of this project is immense, as it represents a strategic enhancement to Turmalina's portfolio.

Summary of Commercial Terms

According to the Option Agreement, Turmalina SubCo, a subsidiary of the Company, is required to meet specific financial and operational obligations to exercise the Option:

(i) A total of $1,560,000 will be paid in cash through several installments, which include:

  • $60,000 within one year from the approval date,
  • $200,000 by the anniversary of either the first anniversary or upon the issuance of an exploration permit,
  • Follow-up payments of $250,000 at the second and third anniversaries, and
  • $800,000 by the fourth anniversary.

(ii) Additionally, Turmalina must invest $6,200,000 in exploration expenditures on the Colquemayo Project over the designated period, with the initial expenditure of $200,000 due in the first year.

Share Issuance Potential

Turmalina has the option to offset up to 50% of the cash payments by issuing common shares to the Optionor, subject to a regulatory hold period. This provision offers Turmalina a strategic advantage in managing its liquidity and financial planning.

Obligations Following the Option Agreement

After exercising the Option, Turmalina SubCo is required to pay the Optionor a 2.0% net smelter returns royalty on the project. However, there is a possibility to lower this royalty to 1.0% by making a one-time cash payment of $2,500,000 within the first year of commercial production.
