definitive agreement with the equity holders of American Physical Security Group, LLC (APSG)
pursuant to which it acquired 100% of APSG’s equity interests and issued certain ADSI securities to
the APSG eq
uity holders as consideration.
APSG adds a myriad of complementary products and technology that ADSI believes will help the
company accelerate its leadership in the physical security industry. APSG’s line of forced entry
ballistic resistant (FEBR) produc
ts is also expected to accelerate ADSI’s engineering efforts in
markets around the world.
ADSI’s Chief Executive Officer, Dale Scales, said: “The acquisition of APSG means ADSI can continue to
expand its strong engineering capabilities with innovate produ
cts that serve our customers
throughout the world.”
ADSI plans to have APSG continue to operate under its own brand name. The leadership and
management team of ADSI, with their expertise and experience, plan to work to maximize the
synergies of ADSI and
APSG in order to give ADSI investors the maximum return on investment.
