Nordea Bank Finland Plc (the ”Issuer”) issues a series (A176) of Equity-Linked Notes due 18 September 2017, Spanien/Italien 2017, denominated in Danish Kroner (“DKK”) with ISIN code DK0030326129 and Common Code 096868367 (the "Notes").
The Notes are to be issued on 11 October 2013 and will be redeemed on 18 September 2017 in accordance with the “Replacement Basket” structure. The return of the Notes depends on the performance of a basket of fifteen (15) Spanish and Italian equity shares (the “Reference Assets”) where the six (6) best performing Reference Assets will be replaced with a replacement factor of indicative 40.00 per cent (the “Replacement Factor”).
Full information on the Issuer and the offer of the Notes is only available on the basis of the combination of the Final Terms of the Notes dated 13 September 2013 and the Base Prospectus as so supplemented.
The offer period for the Notes will take place during the period from 16 September 2013, 9:00 CET until 4 October 2013, 16.00 CET. The Aggregate Nominal Amount of the Notes and the final Replacement Factor will be determined after the subscription period and will be announced in a Final Terms Confirmation Announcement through NASDAQ OMX Copenhagen A/S.
The Issuer reserves its rights to cancel the offer if the aggregate principal amount of Notes subscribed on or before 4 October 2013 is less than DKK 50,000,000, if the Replacement Factor cannot be set at, at least 25.00 per cent or if any event of an economic, financial or political nature occurs and which may jeopardise a successful offer, as determined by the Issuer. The Issuer may also replace any of the Reference Assets at any time on or prior to Issue Date by a comparable type of underlying Reference Asset. The Notes will be issued and registered with VP Securities A/S on 11 October 2013 and be admitted to trading and official listing on NASDAQ OMX Copenhagen A/S with the first day of trading on the same day.
