According to the suit, LinnCo's Registration Statement issued in connection with the IPO was false and misleading and failed to disclose materially adverse facts concerning, among other things, Linn Energy's ability to maintain or increase distributions to LinnCo and other unit holders. In particular, the lawsuit alleges that certain non-GAAP metrics highlighted in the Registration Statement, such as Adjusted EBITDA, Distribution Coverage Ratio and Distributable Cash Flow, were not accurate or reliable measures of Linn Energy's ability to make distributions. When these adverse facts entered the market, the value of LinnCo's shares dropped, damaging investors.
