According to the agreement, the investor is to take an interest of more than 75 per cent in the Company with a stock exchange listing via a capital increase, providing Hoeft & Wessel AG with fresh capital of approx. EUR 8.5 million. The key shareholders are waiving their subscription rights. The necessary capital measures are to be adopted as part of a resolution at an Extraordinary General Meeting scheduled for 18 July 2013.
