Great point, RecInvestor. Its true, Mr Allinder only took control of the company early this year and since then the company has progressed at an astounding rate. I think an audit and filings will go a long long way to providing much needed transparency and credibility for RFMK, not to mention the reporting requirement needed to get the stock traded on the OTCBB!
If a company insider owns restricted shares, those are shares in the company so the O/S is diluted by those shares. If they leave the company and are no longer affiliated with the company, nothing happens with those shares, the individual still owns them. The only main restriction to restricted shares is the time limit. Basically they can only legally be sold once the shares reach a certain age, typically one year. Then the owner can take them to the transfer agent and get the legend removed or signed to be legally sold into the float. Only a share buy back executed by the company would ever serve to decrease the float and therby decrease the O/S. The A/S would remain the same as those shares would move into the company treasury, so the A/S would remain but the float and O/S would decrease.
