Decision on offering of Bonds Tallinn, 2013-07-17

Tallinn, 2013-07-17 12:12 CEST (GLOBE NEWSWIRE) -- AS Pro Kapital Grupp management board decided on the 16th of July 2013 to offer for subscription 74 bonds, each bond having the nominal value of 10 000 Euro. The bonds have the maturity of 5  years and bear annual interest of 5%, payable annually. Bonds are unsecured and non-convertible. The subscription period of the bonds starts on 17th of July 2013 and ends on 31st of July 2013. Bonds are offered in a manner that the offer is not deemed as public offer of securities in the meaning of the directive 2003/71/EC and applicable laws, to investors who acquire the Bonds for a total consideration of at least 100,000 Euros per investor. Bonds are offered to investors who have been sent an invitation to participate in the subscription. In case of subscription of all of the Bonds the total issue price of the bonds shall be 740 000 Euro (74 Bonds, each having the Issue Price of 10 000 Euro). AS Pro Kapital Grupp shall inform the shareholders of the results of the offer with the separate notice. This notice is published in accordance with the article 7.6. of the “Requirements for Issuers” and is not an offer to subscribe the Bonds.
