Mergers of subsidiaries of Tallinna Kaubamaja AS a

Tallinna Kaubamaja AS published the Stock Exchange announcement on 3 June 2013, which stated that with the intention of improving the structure and making the administration of the group more transparent, three mergers of its subsidiaries shall take place. According to the above mentioned Stock Exchange announcement, AS Viking Motors (acquiring company) shall merge with OÜ Ülemiste Autokeskus (company being acquired); TKM Auto OÜ (acquiring company) shall merge with OÜ Opti Auto (company being acquired) and OÜ TKM Beauty (acquiring company) shall merge with OÜ TKM Beauty Holding (company being acquired).

On 12 July 2013 the Commercial Register registered the abovementioned mergers. In connection to registration of the mergers, OÜ Ülemiste Autokeskus, OÜ Opti Auto and OÜ TKM Beauty Holding were deleted from the Commercial Register.

According to the merger agreements signed on 3 June 2013 the legal successor of OÜ Ülemiste Autokeskus is AS Viking Motors, the legal successor of OÜ Opti Auto is TKM Auto OÜ and the legal successor of OÜ TKM Beauty Holding is OÜ TKM Beauty. By registration of the mergers, all assets of OÜ Ülemiste Autokeskus were given over to AS Viking Motors, all assets of OÜ Opti Auto were given over to TKM Auto OÜ and all assets of OÜ TKM Beauty Holding were given over to OÜ TKM Beauty. All merger resolutions of the abovementioned subsidiaries of Tallinna Kaubamaja participating in the mergers were adopted on 4 June 2013. The share capitals of the acquiring companies do not change.

We also inform that the business name of “Kia Automobiles” SIA has been changed to “Forum Auto” SIA. The sole shareholder of “Forum Auto” SIA is TKM Auto OÜ.
