1-a). TCA CREDIT FACILITY
Further to the approval from the Board of Directors received during the meeting of May 8, 2013, Company has finalized and executed the Corporate Financing Agreement with TCA Global Credit Master Fund. Attached to this disclosure filing is the formal Board of Directors authorization letter approving the transaction. The agreement with TCA enables the Company to borrow up to $5-million, based on a mutually approved formula of eligible receivables and assets. The closure of the Financing Agreement follows the completion of TCA's review and verification of Company assets and Accounts Receivable. The funding agreement designates that the use of proceeds be earmarked for the creation of new sales and Accounts Receivable, and that the Company is expressly restricted from utilizing the funds for the retirement of existing debt. TCA will maintain a Bank Account Lock Box for the collection and disbursement of Company's Accounts Receivable, and will become the Company's senior, secured lender.
