In the rescind letter JC address the letter, and references several times within the letter... "Attn: Steven Samblis; the Board of Directors and shareholders IC Places, Inc."
Well, not only has JC recently declared himself CEO of IC Punch Media, Inc. but unless there has been legal action taken we don't know about, JC is still legitimately (for the time being anyway) still on the Board of Directors (seeing as how there are only 2, he and Steve). So... is the letter addressed to himself also???
The letter goes on to state... "This letter shall also serve as a cease and desist to Steven Samblis and the Board of Directors of IC Punch Media and any and all other Parties, effective immediately, to stop conducting business under the name IC Punch Media, Inc."... SO... since JC is still on the BOD, and could certainly be considered at least "and all other parties"... isn't JC demanding a cease and desist from himself also???
And lastly, the final paragraph states... "a recommendation is hereby made that Steven Samblis and the Board of Directors of IC Punch Media, Inc. should file a Form 8-K with the SEC within 4 days of this letter disclosing the rescission of the Agreement and the name change from IC Punch Media, Inc."... So... for JC to remove himself from this responsibility as a BOD member, is to say he has resigned his position as BOD member. And if he did resign, shouldn't he, as a BOD member, issued a Form 8-K about his resignation??? Or, if JC did resign, as it appears he has from the wording of this letter, then Steve should file a Form 8-K about the resignation of JC and make it formal.
The entire letter is just weird. And BTW... no one will ever be able to convince me that this letter was drafted and disseminated without legal consultation, and its very likely the lawyers drafted the entire document. So why in the world did it not go out on legal letterhead from the lawyer(s) ???
