U3O8 Corp. (TSX:UWE)(OTCQX:UWEFF) , a Canadian-based company focused on exploration and resource expansion of uranium and associated commodities in South America, has closed a first tranche of its previously announced non-brokered private placement. Gross proceeds of $405,000 were raised through the issue of 2,025,000 units ("Units") at $0.20 per Unit (the "Offering").
Each Unit consisted of one common share of U3O8 Corp. ("Share") and one-half of a share purchase warrant ("Warrant"). Each whole Warrant entitles the holder to purchase one Share at $0.30 per Share for a period of 24 months.
All securities issued under the Offering are subject to a statutory 4-month hold period expiring on August 16, 2013. Finder's fees of $5,100 were paid in connection with the closing of the first tranche. The Offering is subject to a number of conditions, including, without limitation, receipt of all final regulatory approvals.
The net proceeds will be used to advance U3O8 Corp's Argentinean deposit that could be a low-cost, near-term producer, enhance the positive economics on U3O8 Corp's Colombian deposit that a recent Preliminary Economic Assesment ("PEA") shows could be a large, very low-cost uranium producer, for its exploration project in Guyana, and for general corporate purposes.
