My read: this filing is NOT a negative and does not mean CytoDyn suddenly issued hundreds of millions of new shares.
The company is essentially cleaning up/consolidating older registrations. A large portion of the shares in the newer registration are already-issued shares being registered for resale, so that dilution has already occurred.
The remaining shares are tied to outstanding warrants. Those would only become new shares if the warrants are exercised—and if exercised for cash, CytoDyn could potentially receive substantial proceeds (up to roughly $94.6 million based on the filing).
The recent EFFECT filing also relates to CytoDyn deregistering unsold securities from older registrations, not issuing another block of shares.
Bottom line: This is largely SEC/registration housekeeping, not a surprise new dilution event. There is potential future dilution from warrants, as there has been, but warrant exercises could also provide significant additional cash to the company.
