KRTL Holding Group Inc. (OTC: KRTL) (“KRTL” or the “Company”) today announced a strategic project financing and participation relationship with Fortune Nickel and Gold Inc. (“Fortune”) in connection with the Acton Area Historic Validation Project near Acton, California, and provided an update on the project’s current eight-claim focus, documentation alignment and ongoing evaluation of grant and partnership opportunities.
The Acton project is being coordinated through KRTL International Corp. and its subsidiary KRTL BlueSpot Inc. and is currently focused on the eight GO FOR BROKE 442CT 1-8 federal mining claims.
KRTL Holding Group management stated: “The Acton project continues to become more clearly defined as our diligence progresses. We now have a specific eight-claim focus, project documentation that has been updated to reflect the area being evaluated, and a new strategic relationship with Fortune. Our focus remains on disciplined validation, building the project record and identifying the right support and partnership pathways before determining what additional technical work may be appropriate.”
From Red Rover to the Acton Area Historic Validation Project
When KRTL BlueSpot first became involved with the opportunity, the project was identified under the Red Rover name and the original documentation reflected a broader group of claims and historical information.
As diligence progressed, KRTL developed a more precise understanding of the current project area and determined that the eight GO FOR BROKE 442CT claims now being evaluated are separate from the historic Red Rover Mine.
To align the underlying documentation with that diligence, KRTL BlueSpot and the project counterparties recently executed an addendum to the original project agreement. The addendum updates the current project name to the Acton Area Historic Validation Project and narrows the earlier claim schedule to the eight GO FOR BROKE 442CT 1-8 claims. The remaining terms of the original project agreement were not changed.
Management views the update as an important diligence milestone because the project documentation now more accurately reflects the claims and geographic area actually being evaluated.
Strategic Relationship With Fortune
KRTL Holding Group and KRTL BlueSpot have entered into a project financing and participation relationship with Fortune covering the current eight-claim Acton project.
Under the arrangement, Fortune may provide project financing in stages as specified conditions are satisfied and funding becomes available. To the extent project financing is actually advanced, Fortune may earn corresponding participation in KRTL’s project rights and related project economics in accordance with the parties’ agreement. KRTL BlueSpot remains responsible for day-to-day coordination of project evaluation activities.
The relationship is intended to add another potential project-support pathway while bringing an additional strategic participant into the Acton evaluation process. The arrangement does not transfer record title to the mining claims to Fortune, and no funding amount is being represented as advanced unless and until the applicable conditions are satisfied and funding is actually provided.
Fortune Nickel and Gold Inc is separately conducting an offering pursuant to Regulation Crowdfunding. The Acton project relationship described in this release is a separate commercial arrangement among KRTL, KRTL BlueSpot and Fortune. Any project funding by Fortune remains subject to the terms and conditions of that arrangement and to the availability of funds.
Grant and Additional Project-Support Opportunities
In parallel with the Fortune relationship, KRTL continues to follow up on grant opportunities and other project-support pathways that may align with the Acton project as the project record becomes more clearly defined.
Management is evaluating these opportunities based on applicable eligibility requirements, technical fit and potential usefulness in supporting further project review, while remaining open to additional qualified technical, strategic and institutional relationships.
These activities remain under evaluation and do not represent a grant award, agency endorsement, financing commitment or assurance that any particular funding source or partnership will be obtained.
The Project Remains Validation-Focused
KRTL continues to organize historical and current project information, including claim documentation, maps, agency materials and historical assay records. Historical assay materials reviewed by management have reported high concentrations of gold together with indications of other minerals.
Those historical results have not been established by KRTL as current independently verified mineralization. They remain part of the information base being evaluated to determine what can be responsibly tied to the current eight-claim area and what additional technical review, if any, may be appropriate.
What Comes Next
KRTL’s current focus is on organizing the Acton project record and data rooms, coordinating with Fortune under the project relationship, following up on appropriate grant and project-support opportunities, and evaluating additional technical or strategic relationships that may be relevant.
Any additional technical or field-evaluation steps will depend on the information developed through ongoing diligence, applicable land-management requirements, available project support, qualified partner participation and any required authorizations.
