2026–2027 Corporate Growth and Capitalization Strategy [ source: PRs September 18 and September 25, 2026]
Reasons For Restructuring
- Reverse split was one component of a broader capital restructuring.
- It is intended to create a more workable capital structure as Valiant Eagle pursues financing, acquisitions, strategic investments and expansion initiatives.
- The aim is a stronger capital structure, better-funded operating companies, strategic acquisitions, an expanded Providence Film Group, increased ownership of valuable assets and intellectual property and greater access to growth capital.
- CEO statement: "Many companies, particularly in the OTC markets, complete a reverse split and nothing changes underneath it. Shareholders are right to be skeptical of that pattern. Over the past few years, we were unable to capitalize on various compelling projects due to a lack of capital. As such, we are asking shareholders to judge us on what we execute from here on, and the rest of this announcement lays out what that is."
- Institutional capital partners, acquisition counterparties and financing sources routinely evaluate share count, dilution capacity and per-share price before engaging. The restructured share base is intended to position Valiant Eagle to pursue project financing and strategic acquisitions on more favorable terms, to evaluate additional capital-raising alternatives, and to work toward eligibility for a higher OTC Markets tier.
Capitalization And Access To Growth Capital
- Strengthening the balance sheet and capital structure is a central priority for the 2026–2027 period.
- Management intends to position the Company to pursue larger transactions and to access forms of growth capital that may not have been practical under its previous structure.
- Management intends to pursue financing relationships involving institutional investors, family offices, private capital sources, strategic partners and other qualified funding sources where appropriate.
Providence Film Group (PFG) As A Centerpiece Growth Platform
- Valiant Eagle intends to position PFG as one of the centerpiece platforms of the 2026–2027 plan, substantially expanding PFG's role across film and television development, production, library ownership, licensing, distribution and strategic acquisitions.
- A significant element of that expansion is PFG's evolution toward operating as an independent distribution company. The intent is for the Company to control more of the content value chain rather than relying solely on third-party distributors.
- PFG also continues to pursue growth of its content library through acquisitions, including an ongoing effort to acquire a substantial additional catalog of approximately 250 titles.
- An expanded library is intended to support multiple monetization channels, including domestic and international licensing, FAST and AVOD platforms, streaming and television, YouTube and other digital channels, foreign-language versions, and derivative rights such as remakes, sequels and television adaptations.
- In parallel, PFG intends to use its strengthened capitalization and strategic relationships to advance its existing slate while selectively adding commercially attractive properties.
- PFG already holds produced content, intellectual property, development-stage projects, distribution initiatives and library assets on which to build.
Acquisitions And The Holding-Company Model
- Selective acquisition activity across the broader portfolio is a major theme of the 2026–2027 period.
- Valiant Eagle intends to evaluate operating businesses, intellectual property, entertainment assets, technology companies and other strategic opportunities that complement its existing subsidiaries.
- The Company is moving toward a holding-company model in which capital is allocated to the subsidiaries and opportunities demonstrating the strongest potential for growth and monetization.
- Operating subsidiaries will receive greater strategic attention and capitalization, with the parent company supporting businesses that demonstrate market opportunity, scalable revenue models, valuable intellectual property or strategic relevance to the broader ecosystem.
- Entertainment remains a major pillar of the Company's strategy but is not its only growth engine. Valiant Eagle maintains interests spanning film and television, technology, digital platforms, gaming, fintech, and e-commerce.

Execution And Shareholder Communication
- Capital and management attention will increasingly be directed toward initiatives capable of reaching commercialization, generating revenue, attracting outside investment or materially strengthening the Company's asset base.
- Over the 2026–2027 execution period, shareholders should expect the Company to work toward financing initiatives, acquisitions, subsidiary capitalization, PFG expansion, content library growth, distribution development and commercialization of selected portfolio companies.
- Management expects to provide more frequent milestone-based updates as individual transactions, financing initiatives, acquisitions, partnerships and operating developments reach stages appropriate for public disclosure.
Letter of Intent To Acquire A Hollywood Studio [source: PR September 18, 2026]
- Valiant Eagle has executed a non-binding LOI to acquire a historic Hollywood studio, Main Lot, located in Los Angeles.
- The property includes 4 soundstages totaling approximately 31,500 SF - including a 14,000 SF stage with 54-ft ceilings completed in 2011 - along with 8 office buildings and bungalows and 212 parking spaces on approx 2.75 acres.
- If completed, the acquisition would give Valiant Eagle production infrastructure: soundstages and production offices to serve as the production home for Providence Film Group's slate, together with an established stage-rental business serving third-party productions.

Expanding The Owned Content Library
- Valiant Eagle currently owns a library of 12 film titles, with ownership recorded with the US Copyright Office [see relevant section below].
- The Company is in discussions to acquire approximately 250 additional titles, which would expand its library to approximately 262 titles.
- Management views an owned library as a foundation for recurring licensing revenue, streaming and ad-supported channel programming, and greater leverage in distribution negotiations.
VE Gaming - WalletBridge
- VE Gaming - Valiant Eagle's technology development subsidiary - is the developer of WalletBridge, a payment coordination platform for freelancers, creators and small businesses.
- WalletBridge allows users to create a single shareable PayLink listing every payment app they accept - including Cash App, Venmo, Zelle, PayPal and Stripe - and to manage payment requests, reminders and client tracking from one dashboard.
- WalletBridge PayOS Lite launched in July 2026 following an independent third-party quality assurance review of the platform across web, iOS and Android.
- Valiant Eagle, through VE Gaming, holds a minority equity interest in WalletBridge and serves as the platform's developer.
- WalletBridge is a live consumer fintech product that was independently verified before launch. The Company intends to apply that same development capability across the rest of our technology portfolio.
Operating Portfolio
- Alongside the initiatives above, the Company carries forward an operating portfolio spanning film, consumer products and technology.

Past Performance / Future Prospects
$PSRU has given significant returns regularly since 2020 for those that maintain an inventory of shares at a variety of price points - to trade continuously on every run opportunity each year - whilst maintaining a core amount for bigger moves on longer term major developments.
On the first day of trading "new" shares on September 18, 2026, experienced traders used to trading successfully through a reverse split bought a total of 530,592 shares mainly in the .0125 > .0165 range to trade up to .1500+ where the cheapest replacements for "old" shares start to go into profit. We already know it doesn't take much for a .0100 stock to get to the .1500 > .2000 range especially one with only 12.3M Held At DTC - see Note 2 in Share Structure section.
During the first 6 days of trading, 2,671,692 "new" and replacement for "old" shares were traded - equivalent to 4.005B old share - meaning anyone who wanted to sell for a loss could and multiple traders bought cheap shares to trade from the bottom up over future weeks, months and years. Most buys were 10K/20K at a time although a few were 100K when people were stupid enough to put that amount at a single price.
The anticipated future market cap increased markedly during 2024, 2025 and 2026 with all the additions to the $PSRU portfolio and will increase even more significantly as the line of business development to acquire copyright to another 250 film titles progresses.
