KRTL Holding Group Inc. (OTC: KRTL) (“KRTL” or the “Company”) today provided shareholders with an update on work completed and continuing at the Holding-company level, together with a high-level overview of progress across its three wholly owned subsidiaries: KRTL Biotech Inc., KRTL MedHealth Corp. and KRTL International Corp.
This is the first in a planned series designed to explain the foundation KRTL Holding Group has been working to establish, how the subsidiaries operate independently and together, and what each business has been building before more detailed subsidiary updates are released.
KRTL Holding Group management stated: “A significant part of our work has been cleaning up legacy issues and establishing a corporate and shareholder-record baseline that we can support and build from. At the same time, our subsidiaries have continued developing their own business platforms. This series is intended to connect those efforts and give shareholders a clearer picture of where KRTL stands today.”
KRTL Holding Group — Corporate Cleanup, Baseline and 15c2-11 Diligence
At the Holding-company level, KRTL has spent significant time addressing legacy corporate and shareholder-record issues. In January 2026, the Company announced that the Third Judicial District Court of Salt Lake County, Utah, had issued a supplemental order authorizing the cancellation of an additional 7,335,311 shares of common stock deemed unverified or non-responsive through KRTL’s court-supervised shareholder-record remediation process. KRTL also disclosed that the Court reaffirmed the Company’s updated shareholder ledger and PCAOB-audited financials as the corporate and financial baseline for public reporting and regulatory disclosure.
Management views court-supervised remediation as an important step in establishing a clearer, more supportable foundation for diligence and future corporate activity. KRTL is continuing its Rule 15c2-11-related work with market makers and other broker-dealers, including organizing issuer information and responding to diligence requests as the process progresses. The Company is not representing that the process has been completed or that any quotation, timing or outcome is assured.
