Earth Science Tech (OTC: ETST) announced voting results from its first Annual Meeting of Stockholders, held virtually Aug. 31, 2026. Shareholders approved the company pursuit of a reverse stock split, valid for 12 months and to be used only if the board determines it is necessary to meet minimum bid-price requirements for an uplisting to a national securities exchange. Shareholders also authorized the board independent Special Committee to negotiate the retirement of the Series B Preferred Stock, which the company said would eliminate its dual-class, super-voting control structure.
Shareholders also approved the company cash-only “Say-on-Pay” executive compensation structure and elected a three-year review cycle, re-elected all seven director nominees and ratified Semple, Marchal & Cooper, LLP as the independent registered public accounting firm. Earth Science Tech said an audio replay of the meeting includes management guidance, additional detail on the approved proposals and a shareholder question-and-answer session.
