GBS Capital Signs Letter of Intent to Acquire Unique Global Innovative Solutions Corporation

PITTSBURGH, September 1, 2026 (World News) — GBS Capital today announced that it has signed a Letter of Intent (“LOI”) to acquire Unique Global Innovative Solutions Corporation (OTCPK: UGIZ) (“UGIZ” or the “Company”). Under the contemplated transaction, GBS Capital would work to restructure and refocus UGIZ as an emerging public company centered on the oil and gas services industry.
The proposed acquisition reflects GBS Capital’s conviction that the energy services sector offers a compelling platform for building durable, cash-generative operations. Following completion of the transaction, GBS Capital intends to reconstitute UGIZ’s strategic direction toward the acquisition and development of businesses that provide essential products and services to the upstream oil and gas market.
A Strategic Pivot Toward Energy Services
Oil and gas services companies occupy a critical position in the energy value chain, supplying the specialized equipment, technology and technical expertise that operators depend on to explore, develop and produce hydrocarbons efficiently. Javier Sanguino García Named Chief Executive Officer Upon Closing
In connection with the proposed transaction, GBS Capital announced that Javier Sanguino García will be named Chief Executive Officer of the Company upon closing of the acquisition.
Mr. Sanguino is a civil engineer and energy executive with more than 30 years leading oilfield services, engineering and industrial operations across Venezuela, Colombia, Mexico, Spain and the United States. From 2007 to 2016, he served as Chief Executive Officer and President of Sepesa — ServiciosPetroleros, S.A., a full-service oilfield services company supporting upstream petroleum production in Venezuela, where he held full P&L responsibility for a $50 million-plus business and directed multidisciplinary teams spanning engineering, field operations and logistics. He went on to take Sepesa into Colombia (2012–2018), building that operation, assembling its team and winning its first clients from a standing start. During the same period in Venezuela, Mr. Sanguino also served as Director-Gerente of COSA — Consultores de Occidente Ingeniería (2010–2018), directing engineering and infrastructure projects across the country's energy and industrial sectors.
Mr. Sanguino is currently founder and Managing Director of WPR Global and Wise Fuel, two Latin America-focused ventures advising international capital and operators on market entry, regulatory exposure and on-the-ground execution across the region.
GBS Capital believes Mr. Sanguino's direct operating history in Venezuela and long-standing relationships with operators in the country position the Company to move efficiently as it pursues the Venezuela strategy described below.
A United States Foundation, With an Eye Toward Venezuela
GBS Capital intends to establish the platform first as a United States oil and gas services roll-up, targeting service companies operating in Texas and other major domestic basins. This domestic foundation is designed to assemble operating businesses with proven cash flow, established customer relationships and experienced management teams before pursuing any expansion beyond U.S. borders.
In parallel, and building on the extensive Venezuela experience and relationships of incoming Chief Executive Officer Javier Sanguino García, GBS Capital intends to establish operations in Venezuela following the closing of its initial acquisition. GBS Capital believes Venezuela represents a significant long-term opportunity within the global oil and gas services market, and Venezuela is expected to be a primary area of focus for the refocused Company. Upon closing of the initial acquisition, the Company will seek to promptly establish an office in Venezuela and will draw on Mr. Sanguino's long-standing relationships with operators in the country to pursue service opportunities with current operators and with the new oil and gas projects recently announced in Venezuela.
