What the public record says: the city Comptroller, Bill Henry, referred the TIME nonprofit to the Baltimore Inspector General because the organization failed to fully document tens of millions in annual revenue, and officials said it may have broken several state laws. The exposure floated in the reporting was a fine in the neighborhood of $20,000. This is a roughly $30 million, 550-employee nonprofit that runs counseling, substance abuse treatment, and two hotels operating as homeless shelters in partnership with the city. So what’s under review is a documentation and registration matter at a city-contracted nonprofit. That’s a real issue. It is not a multimillion-dollar criminal fraud probe, and nobody has been charged with anything.
On the connection, she’s right, and I’m not going to pretend otherwise. Dalton tied UNVC and TIME together through leadership and appointments, and Lamont Ellis sits across both. They’re connected. But connected and liable are two different things.
Here’s why that matters. UNVC did not buy that nonprofit… you can’t buy a nonprofit. What UNVC announced was an acquisition of accredited outpatient mental health clinics. That’s an asset purchase. You buy the clinics, not the entity, and the entity’s compliance history stays with the entity. The clinics are billable medical operations. The shelters, the housing, the grant-funded programs that are actually under the documentation review sit inside the nonprofit… a separate entity, separate money, separate oversight. Different entity, different funding, different regulator. Asset purchases are structured exactly so the seller’s liabilities don’t travel with the assets.
And the OIG report she’s waiting on… nobody has read it yet. “Could land on both doors” is a forecast about a document that isn’t public. Could, or could not. When it’s out, we all read it. Until then that’s a maybe, not the scoreboard she says she’s pointing at.
Read the WBAL piece and the filings yourself. They’re public, and they read a lot smaller and a lot calmer than the version going around. That’s the whole reason I’m not rattled by it.
