SIGNAL: REDLIGHT: UNVC – Counsel Step-Back & Verification
SIGNAL: REDLIGHT: UNVC – Counsel Step-Back & Verification Questions
There’s an important shift happening that investors should understand.
Historically, OTC companies relied on attorney letters to support “current information” status. More recent guidance has moved toward greater issuer responsibility, with disclosures coming directly from the company, sometimes alongside legal review.
I contacted UNVC’s counsel regarding questions about the company’s reported Maryland forfeiture status, legal case CV-2019-008314, and outstanding judgments. He stated that disclosure opinions are “not used any more” and directed inquiries back to the company.
This suggests counsel is not providing independent verification and is stepping back from vouching for the company’s disclosures.
Even with more issuer-driven disclosures, the market still looks for credible third-party support—whether from counsel, transfer agents, or consistent public records.
Points to watch:
Whether upcoming filings clearly address state standing
Whether any form of legal or third-party verification is included
How transfer agent verification aligns with publicly available state records
Market maker response to the overall disclosure quality
This isn’t about a single rule—it’s about confidence. If verification weakens, liquidity often follows.
Do your own due diligence using primary sources.
