For years, David hid behind P.O. Box 116 in Owings Mills, MD, and a virtual office on Lombard Street. New laws in Delaware (SB 95, effective Aug 2025) mean he can’t do that anymore.
He must provide a real, physical business address by Sunday at midnight.
It cannot be the address of Univec's registered agent in Delaware.
It cannot be a virtual office (like the one on Lombard St.).
It cannot be a P.O. Box.
He must also provide a code for the type of business (Code 21 for Pharma).
Dilemma: If he gives a real address, the people he owes $162,499.15 to (the City of Baltimore) will find him instantly. If he doesn't file, the company goes Delinquent on Monday morning.
On April 22, 2025, David signed a Management Certification for the stock market claiming the company was in "Good Standing." The Reality: The Maryland corporation was Forfeited (legally dead). Under the new 2026 OTCID rules, a conflict between a CEO's claim and the state record is a massive red flag.
The Bottom Line: David has gotten away with this for years because nobody was checking the paperwork. Now, the rules are automated and the regulators have been alerted. On Monday morning, the public records will tell the story. If he hasn't filed in Delaware with a real address, the "Shell Game" is officially over.
Check the Truth Yourself (Monday Morning)
Delaware Search: Delaware Division of Corporations(Check if it says "Delinquent" or if a new address was filed.)
Maryland Search: Maryland Business Express(Search "Univec" to see the "Forfeited" status for yourself.)
OTC Status: OTC Markets UNVC Profile(Look for a yellow "Yield" sign or a red "Stop" sign appearing.)
