"A copy of a proposed draft of the replacement Joint Venture Agreement provided by
GEOTECH, which was never approved or signed by Plaintiffs, is attached hereto as Exhibit E
and made a part hereof."
That Aug 2011 draft never took effect then-as also indicated by all the quest marks therein and thats when the jv fell apart
