Because David should have made a public disclosure immediately of the information to avoid enforcement actions from the SEC. David isn't this uninformed.
Such a communication is exactly what Regulation FD was designed to prevent.
Sign a CDA
Regulation FD explicitly states that the selective disclosure rules do not apply if the person receiving the material non-public information agrees to maintain its confidentiality.
If the Information is Shared in Connection with a Transaction....to be necessary for the investor to complete their due diligence on a related transaction (like providing debt financing or purchasing a large block of stock privately).
By no way is the investor allowed to make the information private to other investors, or make it public.
