*Pursuant to the terms of the Purchase Agreement, we will issue 1,270,110 shares of common stock to YA, which is equal to the amount of 1.00% of the Commitment Amount (the “Commitment Fee”),
of which one-half shall be issued within five days after the date of execution of the Purchase Agreement (the “Effective Date”),
and the remaining one-half shall be issued on the six-month anniversary of the Effective Date (collectively, the “Commitment Shares”).
The Commitment Shares will be issued to YA as consideration for its irrevocable commitment to purchase shares of our common stock under the Purchase Agreement.
In addition, we paid YA a one-time structuring fee in the amount of $25,000."

*Short-Selling or Hedging by YA
YA has agreed that, during the term of the Purchase Agreement, neither YA nor its affiliates will engage in any short sales or establish any “put equivalent position” (as such term is defined in Rule 16a-1 under the Exchange Act)
with respect to the shares of common stock issued to YA solely to the extent that such “put equivalent position” establishes a net short position with respect to such shares of common stock,
provided that upon receipt of an Advance Notice, YA may sell shares that it is obligated to purchase under such Advance Notice prior to taking possession of such shares.
