Key Components of the Package
Base Salary
$450,000 annually.
Annual Bonus (Short-Term Incentive)
Target bonus of 40% of base salary for the fiscal year ending May 31, 2026.
Equity / Long-Term Incentives
A nonqualified stock option for 1,000,000 shares under the Company’s Amended and Restated 2012 Equity Incentive Plan.
Performance Stock Units (“PSUs”) covering 3,500,000 shares of common stock, with vesting dependent on achievement of specified performance conditions.
Other Terms
His employment agreement allows either party (him or CytoDyn) to terminate the employment “with or without cause,” with or without notice.
