Under the terms of the agreement, CNER has secured the global license to manufacture, sell, distribute, and operate the modular bioreactor technology across all markets on a non-exclusive basis. In consideration, Bio Energy Solutions Inc. will receive a 25% equity stake in CNER's newly formed subsidiary, Syngas BioEnergy Corporation ("SynGas"

SynGas is responsible for building, operating, and commercializing the energy outputs of the bioreactor under long-term, utility-style offtake agreements with its clients. The bioreactor's flexible technology enables the production of clean syngas, biocarbon, biochar, and wood vinegar — with output ratios optimized digitally and remotely, depending on the customer's application needs.
"The flexibility of our modular bioreactor to digitally and remotely tune the outputs depending on the application — such as power — gives us a unique edge," said Gary Bartholomew, CEO and Chairman of bioEnergy Development Inc. "For example, when used for power generation, the bioreactor produces a syngas-rich output that fuels generators, while utilizing biochar and carbon additives to boost energy density and yield."
With this global license, BDI and SynGas are now actively advancing project proposals around the world to process massive, untapped volumes of organic waste — including over 1.5 billion tons of global wood waste and an estimated 4 billion tons of manure waste produced annually. These abundant feedstocks represent one of the largest and most overlooked sources of clean, renewable energy and soil regeneration products on the planet.
The Company believes the global licensing agreement positions it to lead a new wave of distributed, carbon-negative energy systems built on local waste streams.
