New rules for penny stocks in July 2025:
OTC Stocks:
In July 2025, OTC Markets Group will make another change: replacing Pink Current with OTCID. OTCID will be a Basic Reporting Market for companies that meet a minimal current information standard and provide management certification without the qualitative standards of our OTCQX and OTCQB markets.
On July 1, 2025, Pink Current will become the OTCID, a new market tier for the OTC Markets. The new requirements for OTCID include:
• Subscribing to the OTCID – Disclosure & News Service (DNS)
• Providing current disclosure through DNS, the SEC's EDGAR system, or SEDAR
• Completing an annual Management Certification or 12g3-2(b) Certification
• Maintaining a Company Verified Profile on otcmarkets.com
• Providing share data through the Transfer Agent Verified Shares Program
The OTC Markets has three levels of quotation marketplaces: OTCQX, OTCQB, and OTC Pink. The OTCID is intended to improve transparency and compliance for issuers, which can benefit public markets.
NASDAQ Stocks:
Separately, the Nasdaq has proposed new rules to delist penny stocks that don't meet minimum bid price requirements. The goal of these proposals is to protect investors from potential losses and market manipulation. The proposal would:
Suspend companies that don't meet the minimum bid price of $1 per share requirement for 360 consecutive days
Not allow companies to regain compliance if they've had a reverse stock split within the past year
Allow companies to appeal the delisting decision to a Nasdaq hearings panel
Future Predictions:
1) UNVC is currently OTC Pink and (as others here have suggested) Doc would have to do a lot of work to upgrade to the OTCID level before July 1 and If he has other immediate plans it probably wouldn't be worth it to comply with the new OTC rules.
2) What seems more likely is that instead of complying with the OTC before July UNVC will complete its merger and up-list to the NASDAQ. UNVC can then list on the Dream Exchange a few months later ( e.g. in September?).
3) While this is all pure speculation, we may see a big/major move by Doc and UNVC before July 1 (with his hand essentially forced by the new OTC rules).
