In General
Our company is offering a maximum of 91,200,000 Offered Shares on a “best-efforts” basis, at a fixed price of $0.30 to $0.75 per Offered Share (to be fixed by postqualification supplement). There is no minimum purchase requirement for investors in this offering. This offering will terminate at the earliest of (a) the date on which the maximum offering has been sold, (b) the date which is one year from this offering being qualified by the SEC or (c) the date on which this offering is earlier terminated by us, in our sole discretion.
There is no minimum number of Offered Shares that we are required to sell in this offering. All funds derived by us from this offering will be immediately available for use by us, in accordance with the uses set forth in the section entitled “Use of Proceeds” of this Offering Circular. No funds will be placed in an escrow account during the offering period and no funds will be returned once an investor’s subscription agreement has been accepted by us.
We intend to sell the Offered Shares in this offering through the efforts of our Chief Executive Officer, Rory J. Cutaia. Mr. Cutaia will not receive any compensation for offering or selling the Offered Shares.
Looks like VERB just updated the filing. They don't have to sell a share, but the offering is good for a year.

"it says if interested email Rory Cutaia, gives email."
I'm surprised no one talks about this
VERB is the only company I know that doesn't have to go through one of those highly corrupt companies to raise funds while giving away warrants out the ying yang, only to get screwed in the ass.
Why is VERB able to raise so much money without these crooks now one might ask?
For the 20-ish people that contacted me. We WILL get into these crooks and with the objective to make MONEY. At 'some point' when I flush it all out, I'll share it eventually as the more the merrier on this one. This is going to take some work but eventually, I expect the outcome to be like that movie where a couple figure out how to always win the lottery. Great movie btw.
As I said, nothing really to do with VERB, except to take advantage of the lessons from the school of hard knocks.
