Consider 10-Q late as of 5:30pm today unless
Additional shares are being registered with a Rule 462(b) registration statement if it registers additional securities in amount and price that represent no more than 20% of the maximum aggregate offering price set forth in “Calculation of Registration Fee” table (the “462(b) Limit”)
AND/OR
Section 16 imposes filing standards for "insiders," and defines insiders as any officers, directors, or stockholders who possess stock that directly or indirectly results in beneficial ownership of more than 10% of the company's common stock or other class of equity.
Provisions of Section 16 deem a person to be a beneficial owner, even if that individual does not directly have any equity interest in a given company. For example, if a person is part of a shared household where an immediate family member beneficially owns an interest in a covered company, that individual is equally subject to Section 16 filing requirements.
If the above Rule 462(b) or Section 16 apply, it looks like, 10pm is the latest deadline tonight.
Will the Paid Pumpers be up in arms with a 2nd NO FILING (10-Q) status in 30 days? LOL
NO 8-K regarding any merger or acquisition yet? Despite Solray, Inc being formed nearly 6 months ago. One could assume that Solray, Inc.'s start up dealings were taking place prior to its registration date in November 2023.
