I would agree, especially as i began pondering why he chose a direct action-which benefits him . He is not using a class action which would benefit stockholders .stockholders may get benefit but thats not the upfront purpose.
He knew of the violations which he claims against NNLX and the resulting pps damage when he bought his stock at the fire sale prices.
I dont know how that gives him standing whereas a stockholder class action would have standing bc those who bought at much higher prices were materially harmed by the falling pps resulting from not upgrading NNLX to current otc status as NNLX big PR promised.
So he is risking losing standing to put his position far above that of stockholders. Again apparently the broker would get 15% ,stock holders only 25% [of what they have now sharewise] and he would get 60% of the stock.
theres a lot we dont know yet. I scanned the financial statements of thousands of penny stocks - the kind he was trading- and most were essentially bankrupt. Many didnt even have a product. Some claimed ridiculous advances when they didnt have a product or any money.
There was very little worth investing in.
NNLX was very usual in having a product and a valuable patent portfolio- that makes NNLX tasty for takeover artists. But the product apparently never achieved profitability, especially w covid shutting down many schools - who were reportedly a large part of NNLX's customers. And nobody would take NNLX upon offers of licensing patented products etc.
If the lawsuit is filed we will see NNLX response and hopefully find some answers to some of our questions
ceo Brets heart attack would definitely have slowed him down. No more working on high scaffolding to add portland cement and rocks to his house exterior to raise value and provide insurance against fires. Perhaps that work was nostalgic if he worked up high on oil rigs.
