Public companies are required to file the SEC's Form 12b-25 "Notification of Late Filing," commonly known as "Form NT" when "not timely" filing a Form 10-Q or Form 10-K and seeking additional days to file their reports. Companies must disclose on the Form NT why their quarterly or annual report could not be filed on time, as well as any anticipated, significant changes in results of operations from the corresponding period for the last fiscal year. The SEC orders find that each of the companies announced restatements or corrections to financial reporting within 3-21 days of their Form NT filings despite failing to provide details disclosing that anticipated restatements or corrections were among the principal reasons for their late filings. The orders also find that the companies failed to disclose on Form NT, as required, that management anticipated significant changes in results of operations.
So, we know this company has been able to avoid filing 8-Ks within the allowed timeframe, to announce, within 4 business days, following material/significant events relevant to shareholders.
fair questions that could be on the table after finding out about the NO-File with its 10-K due by 5:30pm ET yesterday.
Is the April 1, 2024 NT filing now under the microscope? (i.e. Did the company fail to provide details disclosing that anticipated restatements or corrections were among the principal reasons for their late filings)
Did Turner Stone give up with trying to audit this company under the standard accounting guidelines?
Is the SEC investigating the company? (By law, SEC investigations are confidential and non-public. Generally, the SEC Staff will provide information and materials to SEC whistleblowers on a need to know basis only.)
Did the 3.1 million 2021 tax write off for Medrecycler losses become an issue? (Considering the ceo was able to take control of the Medrecycler assets following the corporate write off and eventually 100% of the stock, before becoming defunct as a Snpw subsidiary).
Is restructuring going on (public to private or investor being issued stock for equity) and the 10-K filing would seem meaningless, in a few months, due to a total different structuring/entity replacing current ownership and/or Snpw's existence?
Maybe rickystereo or mountdallas or foreign citizen of BC snpw is golden has the answer(s)? We know drugman's guess will be wrong like every other guess over the past few years.
in my opinion
