ITEM 1.01. Entry into a Material Definitive Agreement
On May 22, 2012 IC Places, Inc. ("the Company" or "Buyer") entered into a letter of intent with Punch
Television Network ("Punch", "Seller"). Buyer would acquire substantially all of the assets, tangible and intangible, owned by Seller that are used in, or necessary for the conduct of, its Television Network business, including, without limitation: (i) the Station Licenses, subject to any obligations contained in disclosed license agreements and all related intellectual property; (ii) the fixed assets of Seller; (iii) any and all customer lists; and (iv) the goodwill associated therewith, all free and clear of any security interests, mortgages or other encumbrances. The aggregate consideration for the assets and business to be purchased would be a set amount of IC Places Common Stock, to be determined based on valuations of the assets acquired.

Description
IC Places is a New Media company that produces weekly entertainment content for several different mediums. In 2012 it hit a milestone of signing partnership agreements to place its content before more then 300 million people a month, giving the company one of the largest distributions foot prints on the planet.
Full launch into the partner networks reached critical mass in March of 2012. Once ClearVision is fully launched the monthly viewer numbers of IC Places content will reach over 450,000,000. These number will continue to expand as longer form IC Places TV shows begin syndication into Canada and over seas.
The company as of this writing May 6th 2012 is in its infancy only a few months into its true launch.
