There's no need to explain it given that you answered you're own question with point #2 above. THIS management team has had almost two years to get the hold lifted, and they have failed. Yes, I know there's a long list of excuses which I don't disagree with, like the FDA moving the goal posts over and over, but THEY OWN IT! How can we base the president's compensation on performance and not the other members of the C-suite like the CFO? Giving the thumbs down on approving the recommended executive officer compensation doesn't mean they won't be compensated. It just means they won't get an increase similar to the president not getting an increase when they fail to perform. If they can't get the hold removed prior to Nov 9, then in my opinion, they have failed to perform to do 50% of their job, per your words above. I believe they need to be held accountable, and their compensation should be performance based just as the president's.
Now, here's my question for you: can you give me examples of how the executive officers have met or exceeded their performance during the last year that would warrant an increase in their compensation?
