Jupiter Wellness, the business combination sponsor, observed that the registration statement was regarding Chijet Motor Company Inc., a developer of next-generation electric vehicles, in connection with a previously announced proposed business combination with Jupiter Wellness Acquisition Corp. (NASDAQ: JWAC), a special purpose acquisition company. A special meeting of Jupiter Wellness Acquisition Corp. shareholders has been scheduled for April 20, 2023, to approve the proposed combination; the business combination is expected to close shortly after the special meeting, pending shareholder approval and other customary closing conditions. Chijet primary business is currently the development, manufacture, sales and services of traditional fuel and electric vehicles.
