The original 2021 S-3 was based on total dollar amount rather than number of shares. It seems as though they wanted to have an S-3 on file so they could sell at will up too that $200 million without having to file multiple individual S-3s. We may have also not been under contract to Paulson at the time. Subsequent S-3s would have used up all the shares mentioned in the original S-3 listing making it superfluous.
