I'm not bashing or pumping but there is a lot of talk about the SEC 4 day rule on Material Events Happening It is for the protection of investors either buying or selling. All I'm saying is Doc is legally bound by law to inform Shareholders as to what went on with this it will be (1) year this coming Tuesday 8/16/2022 Univec,Inc Acquisition of Mental Health Clinics If he bought them as some speculate he did then that is a Material Event if the deal fell through that is a Material Event

Folks, anyone that thought there would be a merger in the second quarter financials, you have not been thinking clear or reading the board. I myself had said it more than once that the OTC Markets has the same 4 day, material event disclosure rule as the SEC and "we expect the companies to follow the rule". Why is there a 4 day rule, it is for investor protection. If you sold stock AFTER the material event that was not disclosed you would then have the ability to sue for non disclosure and you would collect. The financial liability would be huge for Dalton and the Board of Directors hence no merger. Not rocket science just common sense

UNVC continues to operate under Form 15-12g filed on 11-22-2010 so why does UNVC need to file an 8K ?

Every company, SEC registered or not, has to inform shareholders within 4 days of a material event. Also the clinics are not in Univec, Inc. as of 2nd quarter.
If I may "speculate" here, just my humble opinion. I think Doc maybe purchased those clinics personally and they will get rolled up with everything else. Also it could be the deal was just put on hold. We know Doc has a relationship with the clinics
