I can be wrong but I don't think it needs to be put up for the shareholders to vote on unless the BoD first approves the offer. Until then, it's just part of the negotiations process. If the BoD approves it, then it goes to the shareholders for approval.

Thats not true. A $15 offer would be deemed worthy if submission to the shareholders for a vote. That did not occur.
