RFMK is a SEC non-reporting company because they have not yet registered with the SEC therefore they have no obligation to provide a Q4 2012 10-Q, ever. Even if they were registered with the SEC, so long as they stay quoted on the Pink Sheets they would not have the obligation to file a 10-Q; only OTCBB quoted securities have the obligation to provide timely reports.
As for the OTC market requirements, there only exist mere guidelines and should RFMK not file a 10K within 90 days of the end of fiscal year 2012, then and only then would they be at risk of falling down one tier into the "Limited Information" status for OTC; so I guess they have until the last day of this month to file the 10K (audited or unaudited). The fourth quarter is an exception, so they really only need to file a 10K by the end of this month in order to remain in the "Current Information" status/tier.

Companies that make the information described below publicly available on a timely basis (90 days after fiscal year end for Annual Reports; 45 days after each fiscal quarter end for Quarterly Reports) qualify for the Current Information Tier
