If Ford Motor Company violated some law or rule having to do with MPG claims and then fired their CEO who made the claims on behalf of the company, the company is still liable for what the CEO said, because potential buyers and shareholders made decisions based on those claims, and because the CEO, acting on behalf of the company in his capacity as spokesman for the company, made the claims, fired or not. Same situation here.
If the SEC/DOJ found evidence of wrongdoing by NP in connection with CYDY and claims made, CYDY would still be liable as a company, even if NP was dead.
