How many of the ~40k shareholders did vote and which did not vote?
How many shares does management have in control (own shares, shares from family and friends, not yet exercised options, possible poison pill, ...)?
Every shareholder who is not voting is voting automatically for the management proposals.
Even for a competent shareholder group (not the kind of 13d clown show) it would be difficult to obtain the upper hand. Especially in a constellation we had with Nader and Kelly also sitting at the BOD, which was a kind of "putting the fox in charge of the henhouse" situation in the past.
Shareholders are always at the loosing end. How much of share price, legal costs and distraction did the 13d freak show cost us?
