I am not them, so I don't know what they are trying to do. But, is it possible that they (these two shareholders with the same last name, Robert Schielke and Louis J. Schielke) are trying to make it possible that should some group of investors obtains just over 50% of the board that the new majority board could fire "without cause" the remainder of the board in order to remove all dissent on the board? Just a thought, and a concerning one at that.
Wouldn't that allow a board, any board (current or future), to remove all dissent from the board by merely firing "without cause" the objecting board members? I can't see how this could be public policy.
